Requirements for a candidate:
Higher professional education in economics, finance, engineering and economics. A degree in business management, transport systems including railways and technology is preferred.
At least 5 years of experience in a related field. Previous involvement in reform and transformation of industries/enterprises.
Critical thinking and analytical skills, an expert in change management, significant knowledge of business theory, business processes, management, strong communication skills are a prerequisite.
Russian and/or English (professional level);
Uzbek (understanding of speech, fluent spoken is welcomed).
Essential duties and responsibilities include the following (Other duties may be assigned):
· participate in developing of a clearly defined and compelling strategy for transformation of the company, which implies optimization of business processes and ensure that all relevant initiatives are fully integrated into the strategic-planning process for operational efficiency and financial sustainability;
· act as a member of the team functioning for the rollout of transformation initiatives and capabilities, fully integrating business and technology, and close digital performance gaps that exist in and between the various functions and business units of the organization;
· constantly survey the organization for the opportunity to deploy digital leverage for business performance improvement;
· work with teams across the business to identify innovative solutions for products, services, processes, customer experiences, marketing channels and business models;
· challenge old ways of working and existing assumptions in order to build, manage and continue to grow an internal and external digital innovation ecosystem, tapping into competencies across and beyond the organization to apply new effective approaches to the business;
· to be involved in managing of the business transformation use case ROI process to ensure that the project cost-benefit parameters justify execution of a project;
· maintain knowledge of a wide range of external partners, including international consultants to provide solutions as appropriate;
· assess and mitigate risks associated with implementing of organizational and operational changes;
· work within a team with relevant executive partners/peers, international consultants in developing and executing plans to capture digital, technological advances and operational benefits;
· deliver transformation initiatives which include preparing the operating businesses to drive execution on an ongoing basis post solution deployment;
· operate within a team of Transformation Office who act as a liaison between operating company executives and resources whether internal or outsourced;
· implement deployment initiatives in partnership between the operating companies and other members of the Transformation Office.

Competence of the Supervisory Board:
· determination of priority areas of the Company's activities;
· organization of the establishment of the market value of the property;
· approval of the annual business plan of the Company;
· establishment of an internal audit service and the appointment of its employees, as well as quarterly hearing of its reports;
· access in accordance with the established procedure to documents relating to the activities of the executive body of the Company and their receipt for the performance of duties assigned to the Council of the Company;
· when it is necessary, engage an independent organisation on a competitive basis to assess the Company's corporate governance system;
· monitoring the achievement of the goals outlined in the Company's business plan;
· monitoring the implementation of the Corporate Governance Code;
· making recommendations on the amount of remuneration and compensation payable to the members of the Audit Commission of the Company;
· giving recommendations on the amount of dividends, the form and procedure for its payment;
· use of reserve and other funds of the Company;
· creation of enterprises, organizations and institutions of any legal form, as well as branches and opening of representative offices of the Company;
· creation of subsidiaries and dependent business companies;
· decision-making on transactions in cases provided for by Chapters 8 and 9 of the Law of the Republic of Uzbekistan “On Joint Stock Companies and Protection of Shareholders’ Rights”;

Competence of the Board
The competence of the Management Board of JSC "O’zbekiston temir yo’llari" (hereinafter - the Company) includes:
- elaboration of the concept of development and improvement of the railway transport network;
- determination of the main directions of economic, scientific, technical and social development of railway transport;
- development of a draft of the main directions of the Company's activities;
- development of a business plan for the Company;
- determination of the Company's need for rolling stock, machines, mechanisms and other specialized equipment and funds for their purchase, as well as the volume of capital investments and construction and installation work on the Company's facilities, financed from centralized sources and other sources provided for by the investment program;
- organization of financial and economic work and financing of subdivisions, enterprises, organizations and institutions included in the organizational structure of the Company;
- development of tariffs for the carriage of goods, passengers, mail, baggage and cargo luggage, additional charges for the provided railway services, carried out in domestic rail and mixed traffic. The approval of these tariffs and the development of fees are carried out in accordance with the procedure established by law, as well as in accordance with the Charter of the Railways of the Republic of Uzbekistan, approved by the Resolution of the Cabinet of Ministers of October 23, 2008 No. 232 and the Law of the Republic of Uzbekistan "On Railway Transport";
- the formation of centralized funds and reserves for financing capital investments, research and other work of general importance;

- conclusion of a transaction, the subject of which is property, the value of which is up to 15 percent of the net assets of the Company as of the date of the decision to conclude such a transaction, while the decision is taken by the Management Board of the Company unanimously. If the unanimity of the Management Board of the Company on the issue of the transaction is not reached, then by decision of the Management Board of the Company the issue of the transaction may be submitted for consideration by the Board of the Company;
- conclusion of transactions related to the participation of the Company in commercial and non-commercial organizations, if there is an appropriate resolution of the President of the Republic of Uzbekistan or instructions from the Cabinet of Ministers of the Republic of Uzbekistan;

- development of proposals for amendments and additions to the Charter of the Company;

- The Management Board of the Company in the prescribed manner submits for approval to the Cabinet of Ministers of the Republic of Uzbekistan proposals on the organizational structure of the executive office of the Company, while the maximum number of management personnel is approved by the Cabinet of Ministers of the Republic of Uzbekistan;

- settlement of transaction, the subject of which is property, the value of which is up to 15 percent of the Company's net assets as of the date of the decision to make a deal, and the decision is made by the Company's Management Board unanimously. - consideration of the issues of improving the current legislation on railway transport for the subsequent submission of proposals to the Board of the Company;
- approval of cost estimates for the maintenance of enterprises and divisions of the main activity and institutions of the Company's social sphere;
- approval of the Company's local documents;
- approval of the forms, systems and amounts of remuneration for the Company's employees, as well as consideration and approval of proposals for the promotion of employees based on the results of economic activity.
- The Board in the prescribed manner, shall submit for approval to the Cabinet of Ministers proposals on the organizational structure of the Executive branch of the Company, thus limiting the number of management personnel approved by the Cabinet of Ministers of the Republic of Uzbekistan.
- The Board, led by Chairman of the Board, decides on all matters of operational, production, financial and other activities that are not related to the competence of the sole shareholder and the Board of the company.
III. Functional responsibilities Functional responsibilities of the deputy chief executive for IT development - Head of the Transformation Office
In the field of IT technologies:
- design of a short-, medium - and long-term Strategy for digital development of the Company on the basis of studying the global market of IT technologies in transport sector and the feasibility of specific projects in the field of IT-technology in the Compony;
- development of a tactics for implementing the Digital Development Strategy in the Company and its structural enterprises;
- management of internal IT projects, development, implementation and maintenance of information security policy, project, technical documentation and internal regulations design;
- organization of technical support for the Company's users and clients, preparation of technical tasks for the development (acquisition), implementation and maintenance of software products;
- ensuring of the digital tools set creation for resource planning (people, equipment, infrastructure) and monitoring of operational indicators;
- ensuring of the customer-oriented work through effective online management throughout the entire life cycle of the transport order (from order to payment);
- other functions in the area of the supervised issue.
In the field of implementation of the Company's Transformation Strategy:
- definition of the target vision and concept of the development of the Company;
- design of an effective short -, medium - and long-term Strategy for the development of the Company based on the study of the world experience in reforming the railway industry, as well as the available proposals of international consultants on this issue;
- adoption and implementation of strategic decisions and plans for the development or restructuring of the enterprise;
- control over the implementation of the directions of the Company's Development Strategy as a whole and by structural enterprises (divisions) Companies;
- identification of negative and positive trends in the processes at the enterprise, development of measures to neutralize the former and stimulate the latter;
- managing risks arising in the process of implementing the Company's Development Strategy;
- ensuring of the interaction with the relevant higher authorities of the Republic on the range of supervised issues;
- other functions in the area of the supervised issue.
IV. Hiring specifications Requirements for the level of education
The level of education - higher professional economic, engineering and economic education, MBA (Master of Business Administration — Master of Business Administration).

Work experience requirements

III. Requirements for candidates for inclusion in the composition of the Supervisory Council of JSC "O’zbekiston temir yo’llari » Requirements for the level of education
The level of education - the presence of a bachelor's degree, master's degree in the field of:
- finance and economics;
- organization of railway transport, transport logistics, land transport systems, etc.;
The presence of degrees of Doctor of Philosophy, Doctor of Science, are welcome and will be mandatory taken into account during the interview.
Work experience requirements
At least 15 years of work in transport companies in accordance with the directions of the required education for the applicant, including at least 7 years in managerial positions.
Proficiency in languages
- Russian and / or English (professional level);
- Uzbek (welcomed).
IV. Payment terms
The amount of payment is determined based on the results of the interview.
